These Terms of Service govern your access to and use of https://northernhour.com/ and any products or services purchased from NorthernHour.

Throughout these Terms, “NorthernHour,” “we,” “us” and “our” refer to NorthernHour and its owner or operating business. “You” and “your” refer to the person accessing the website or purchasing a product.

By visiting the website, creating an account, submitting an order or purchasing a product, you agree to these Terms of Service and the policies incorporated into them.

If you do not agree to these Terms, you must not use the website or place an order.

Nothing in these Terms limits any consumer rights or remedies that cannot legally be excluded.

1. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction to place an order.

If you are below the age of majority where you live, you may use the website only with the permission and supervision of a parent or legal guardian.

You may not use the website or our products for any unlawful, fraudulent or unauthorized purpose.

2. Shopify Platform

Our online store is hosted through Shopify, which provides the e-commerce platform used to display and sell our products.

Your use of Shopify services, accelerated checkout services, payment methods or other third-party features may also be governed by the applicable provider’s terms and privacy practices.

3. Product Information

NorthernHour makes reasonable efforts to present product descriptions, materials, dimensions, specifications, photographs, videos, digital renders, prices and available configurations accurately.

However:

• Colours may appear differently depending on your screen or device;

• Handmade and individually assembled products may have minor variations;

• Brushing, polishing, alignment and finishing may vary slightly;

• Product images may contain representative photographs or digital renders;

• Component designs may be revised or updated;

• Mechanical watches may experience ordinary variation in timekeeping; and

• Packaging may change without notice.

Minor differences that do not materially affect a product’s appearance, function or confirmed configuration are not necessarily defects.

NorthernHour will not knowingly make a material substitution to a custom order without contacting the customer.

4. Custom-Configured Products

NorthernHour allows customers to configure watches by choosing components such as:

• Case style;

• Case colour;

• Case size;

• Bezel;

• Dial;

• Hands;

• Bracelet or strap;

• Movement;

• Crown;

• Engraving; and

• Other available components.

You are responsible for reviewing all configuration selections before submitting your order.

Your order confirmation is the primary record of the configuration you selected. Contact us immediately at ask.northern.hour@gmail.com if your confirmation does not match your intended selections.

Certain component combinations may be technically incompatible. If this occurs, NorthernHour may:

• Contact you to approve an alternative;

• Refund the cost of an unavailable option;

• Request that you select a replacement component; or

• Cancel and refund the affected order.

Custom-configured and personalized products are subject to the Custom Order provisions in our Return, Refund, Cancellation and Custom Order Policy.

5. Independent Brand and Non-Affiliation

NorthernHour is an independent custom-watch business.

Unless expressly stated otherwise, NorthernHour is not affiliated with, authorized by, endorsed by, sponsored by or officially connected to Seiko, Rolex, Audemars Piguet, Patek Philippe, Cartier or any other third-party watch manufacturer or brand.

Third-party company names, trademarks, product names and design references are the property of their respective owners.

Any third-party references are used only where reasonably necessary to describe:

• Component compatibility;

• Movement type;

• Product dimensions;

• General design inspiration; or

• Parts incorporated into a watch.

Use of a third-party name or reference does not imply an official relationship, endorsement or authorization.

A component will only be described as genuine, original or authentic where NorthernHour has a reasonable basis for making that representation.

6. Orders and Contract Formation

Submitting an order constitutes an offer to purchase the selected product.

An automated order confirmation acknowledges that we have received your order but does not necessarily mean that the order has been finally accepted.

NorthernHour may review an order before beginning sourcing, assembly or fulfillment.

An order is accepted when we begin processing or production, dispatch the product or otherwise confirm acceptance.

NorthernHour may reject, place on hold or cancel an order for reasons including:

• Product or component unavailability;

• A pricing, description or technical error;

• Suspected fraud or unauthorized payment;

• Payment failure;

• Shipping restrictions;

• An incompatible configuration;

• A legal or regulatory restriction;

• Incomplete customer information; or

• An inability to complete the requested product.

If NorthernHour cancels a paid order, the applicable amount will be refunded to the original payment method.

7. Prices and Currency

Prices may be displayed in different currencies based on your location, selected market or website settings.

The final price, currency, shipping charge and applicable taxes will be displayed during checkout.

Your bank, card issuer or payment provider may charge:

• Currency-conversion fees;

• International transaction fees;

• Processing fees; or

• Other charges outside NorthernHour’s control.

Prices, products and promotions may change without notice. Changes will not ordinarily affect an order that has already been accepted, except where correction of an obvious error is legally permitted.

8. Taxes, Customs and Import Charges

Applicable sales taxes may be charged during checkout.

International orders may also be subject to:

• Customs duties;

• Import taxes;

• Value-added tax;

• Brokerage charges; or

• Other destination-country fees.

Unless checkout expressly states that duties and import taxes are included, those charges are the customer’s responsibility.

9. Payment

You agree to provide current, complete and accurate billing and payment information.

By submitting payment information, you represent that:

• You are authorized to use the selected payment method;

• The information submitted is accurate; and

• NorthernHour may charge the applicable order amount.

NorthernHour may use third-party payment and fraud-prevention providers to verify a transaction.

We may request additional identification, address verification or payment confirmation before accepting or shipping an order.

10. Shipping and Delivery

Shipping, production and delivery estimates are governed by our Shipping and Delivery Policy.

Unless otherwise stated on the product page or at checkout, orders are generally expected to arrive within approximately two to three weeks from the order date.

Delivery estimates are not guaranteed and may be affected by component availability, customs, carriers, weather, holidays and other circumstances outside NorthernHour’s reasonable control.

11. Cancellations, Returns and Refunds

Cancellations, returns, exchanges and refunds are governed by our Return, Refund, Cancellation and Custom Order Policy.

Eligible non-custom products may generally be returned within 14 calendar days of delivery, subject to the conditions stated in that policy.

Custom-configured and personalized products may become final sale once sourcing, assembly, engraving, personalization or production has begun, except where the product is defective, damaged, incorrect or applicable law provides otherwise.

12. Warranty

Eligible watches purchased directly from NorthernHour include a one-year limited warranty, subject to the conditions and exclusions in our One-Year Limited Warranty and Repair Policy.

The limited warranty is in addition to any mandatory legal rights that apply to the customer.

13. Promotions and Discount Codes

Promotions and discount codes:

• Must be used before their stated expiry;

• Cannot be combined unless expressly permitted;

• Have no cash value;

• Cannot ordinarily be applied after an order has been placed;

• May be limited to certain products, customers or locations; and

• May be cancelled where obtained or used fraudulently.

Where a discounted product is refunded, the refund will not exceed the amount actually paid for that product.

14. Accounts

You are responsible for maintaining the confidentiality of your account credentials and password.

You agree to provide accurate account information and to notify NorthernHour promptly if you suspect unauthorized use of your account.

NorthernHour may suspend or close an account where there is reasonable evidence of:

• Fraud;

• Abuse;

• Unauthorized activity;

• Repeated payment disputes;

• Misuse of promotions; or

• A material violation of these Terms.

15. Acceptable Website Use

You may not:

• Use the website for unlawful or fraudulent activity;

• Attempt to gain unauthorized access to the website or another account;

• Upload viruses, malware or harmful code;

• Interfere with the website’s operation or security;

• Use unauthorized automated systems to scrape or extract website content;

• Impersonate another person;

• Submit false reviews, claims or payment disputes;

• Use another person’s payment information without permission;

• Copy or commercially exploit NorthernHour content without authorization; or

• Violate another person’s intellectual-property, privacy or other legal rights.

NorthernHour may restrict website access or cancel affected orders where misuse is reasonably suspected.

16. Intellectual Property

NorthernHour branding, original text, product photography, graphics, videos, configurator materials, layouts, artwork and website content are owned by or licensed to NorthernHour and are protected by applicable intellectual-property laws.

You may access the website for personal and non-commercial shopping purposes.

You may not reproduce, republish, sell, distribute, modify, scrape or commercially use NorthernHour content without written permission.

Third-party trademarks and intellectual property remain the property of their respective owners.

17. Reviews and Customer Content

If you submit a review, photograph, video, testimonial or other content, you represent that:

• You created the content or have permission to submit it;

• It is accurate to the best of your knowledge;

• It does not violate another person’s rights;

• It is not defamatory, unlawful, deceptive or malicious; and

• It does not contain harmful code.

You grant NorthernHour a non-exclusive, worldwide, royalty-free licence to reproduce, display, adapt and use submitted content for website, customer-service and promotional purposes, subject to applicable privacy law and any separate agreement made with you.

NorthernHour may remove content that violates these Terms.

18. Third-Party Services and Links

The website may provide access to third-party services, payment methods, social-media platforms or external links.

Third-party services are governed by their own terms and privacy policies.

NorthernHour does not control and is not responsible for third-party websites, content, security, availability or conduct, except where responsibility cannot legally be excluded.

19. Website Availability

NorthernHour does not guarantee that the website will always be uninterrupted, secure or error-free.

We may temporarily restrict access to the website for maintenance, updates, security or operational reasons.

We may correct website errors, inaccuracies or omissions without prior notice.

20. Disclaimer of Warranties

To the maximum extent permitted by law, the website is provided on an “as available” basis.

Product warranties are limited to:

• The warranties expressly stated in our One-Year Limited Warranty and Repair Policy; and

• Any warranties or consumer protections that cannot legally be excluded.

Nothing in these Terms excludes a warranty or legal right that must apply under applicable law.

21. Limitation of Liability

To the maximum extent permitted by law, NorthernHour will not be liable for indirect, incidental, special or consequential losses arising from website use or a product where those losses were not reasonably foreseeable.

Where liability may legally be limited, NorthernHour’s total liability relating to a particular product will not exceed the amount paid for that product.

Nothing in these Terms limits liability for:

• Fraud or fraudulent misrepresentation;

• Gross negligence or wilful misconduct;

• Death or personal injury where liability cannot be excluded;

• A breach of mandatory consumer rights; or

• Any other liability that cannot legally be limited.

22. Indemnification

To the extent permitted by law, you agree to compensate NorthernHour for reasonable losses arising directly from:

• Your unlawful use of the website;

• Fraud committed by you;

• Your infringement of another person’s rights; or

• Your material violation of these Terms.

This provision does not apply to an ordinary consumer complaint or the lawful exercise of consumer rights.

23. Governing Law

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

The courts located in Ontario will have jurisdiction where legally permitted.

Customers may also benefit from mandatory consumer protections and legal forums available in their home jurisdiction. This section does not remove those mandatory rights.

24. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed only to the extent necessary.

The remaining provisions will continue in full force.

25. No Waiver

NorthernHour’s delay or failure to enforce a provision does not waive the right to enforce that provision later.

26. Changes to These Terms

NorthernHour may update these Terms to reflect changes to our products, website, business operations or legal obligations.

The updated Terms will be posted with a revised “Last updated” date.

Changes will apply prospectively unless applicable law provides otherwise.

27. Entire Agreement

These Terms and the policies incorporated into them constitute the agreement between you and NorthernHour regarding use of the website and purchases from NorthernHour, subject to any additional written agreement expressly accepted by us.
